Proprietary and Confidential Information All materials, content, documentation, services, and related resources provided by or through the BlackList Membership (including those jointly developed with or supplied via CultWine) constitute the proprietary and confidential proprietary property of BlackList Membership and CultWine.
Every Member is strictly required to maintain the confidentiality of all such materials and services. Members shall not disclose, copy, reproduce, distribute, publish, transmit, adapt, modify, create derivative works from, or otherwise make available any portion of these proprietary materials or services to any third party, except as expressly authorized in writing by BlackList Membership.
This obligation of confidentiality survives the termination of membership and remains binding indefinitely or for as long as the information retains its proprietary or confidential character. Failure to comply with these confidentiality obligations may result in immediate termination of membership and/or other appropriate legal remedies.
